Terms and Conditions
Effective Date: January 2, 2025
1. Scope
These General Terms and Conditions (GTC) apply to all contracts concluded between the Freelancer and the Client for services such as web development, UX design, SEO & SEA, copywriting, identity & branding, and content management. Deviating agreements require written confirmation.
2. Conclusion of Contract
A contract is concluded when the Client accepts a written offer from the Freelancer or when the Freelancer provides written confirmation of an assignment. Oral agreements are only valid if confirmed in writing.
3. Services Provided by the Freelancer
The scope of services results from the respective offer or project agreement. Subsequent changes require written agreement and may incur additional costs.
4. Cooperation of the Client
The Client shall provide all necessary information, documents, and content in a timely manner. Delays caused by missing cooperation do not constitute the responsibility of the Freelancer.
5. Fees and Payment Terms
Fees are based on the agreed offer or contract.
All prices are exclusive of statutory VAT unless stated otherwise.
Invoices are payable without deduction within 28 days of receipt.
For larger projects, a deposit of up to 25% may be agreed upon.
6. Acceptance
After project completion, the Freelancer will provide the result for acceptance.
Acceptance shall occur solely through a written declaration by the Client.
- The Client must review the deliverables within 28 days and either confirm acceptance in writing or report deficiencies in writing.
7. Liability
The Freelancer is liable for intent and gross negligence.
In cases of simple negligence, liability applies only to:
– breaches of essential contractual obligations (cardinal duties), or
– damages to life, body, or health.Liability is limited to the typical, foreseeable contractual damage.
The Freelancer is not liable for data loss, indirect damages, or delays caused by third parties.
- The Client is responsible for the legality of provided content.
8. Usage Rights
Upon full payment, the Client receives full, perpetual, and unrestricted usage rights to all deliverables.
The Client may modify, extend, or maintain the work through third parties after contract termination.
- Transfer of original code during the project requires mutual agreement.
9. Confidentiality
The Freelancer agrees to treat all information received from the Client confidentially and to use it solely for the purposes of the project.
10. Termination
Both parties may terminate the contract for good cause.
Ongoing services (e.g., hosting, maintenance, support) may be terminated with one month’s notice to the end of a quarter.
- Services already rendered must be compensated.
11. Final Provisions
The law of the Federal Republic of Germany applies.
The place of jurisdiction is the Freelancer’s registered office, provided the Client is a merchant.
Should any provision of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
