Terms and Conditions
Effective Date: January 2, 2025
1. Scope
These General Terms and Conditions (GTC) apply to all contracts concluded between the Freelancer and the Client for services such as web development, UX design, SEO & SEA, copywriting, identity & branding, and content management. Deviating agreements require written confirmation.
2. Conclusion of Contract
A contract is concluded when the Client accepts a written offer from the Freelancer or when the Freelancer provides written confirmation of an assignment. Oral agreements are only valid if confirmed in writing.
3. Services Provided by the Freelancer
The scope of services to be provided is defined in the respective offer. Subsequent changes to the agreed services require written agreement and may incur additional costs.
4. Cooperation of the Client
The Client agrees to provide all necessary information, documents, and content in a timely manner to ensure smooth project execution. Delays caused by a lack of cooperation are not the responsibility of the Freelancer.
5. Fees and Payment Terms
Fees are based on the agreed offer.
All prices are exclusive of statutory VAT unless otherwise stated.
Invoices are payable without deduction within 14 days of receipt.
For larger projects, a deposit of up to 50% may be agreed upon.
6. Acceptance
After project completion, the result will be made available to the Client for acceptance.
Acceptance is deemed to have taken place if the Client explicitly approves the result or does not submit written objections within 14 days.
7. Liability
The Freelancer is only liable for intent and gross negligence.
The Freelancer is not liable for data loss, unforeseeable damages, or delays caused by third parties.
The Client is responsible for the legality of the content provided.
8. Usage Rights
The Freelancer grants the Client simple usage rights to the created work upon full payment.
Any transfer of usage rights to third parties requires the written consent of the Freelancer.
9. Confidentiality
The Freelancer agrees to treat all information received from the Client confidentially and to use it solely for the purposes of the project.
10. Termination
Both parties may terminate the contract for good cause.
Services already rendered must be compensated in accordance with the agreement.
11. Final Provisions
The law of the Federal Republic of Germany applies.
The place of jurisdiction is the Freelancer’s registered office, provided the Client is a merchant.
Should any provision of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
